Terms of service
These terms govern use of the Torevo website and paid Shopify apps, including Torevo • KROS Fakturácia.
Last updated: 29 July 20261. Provider and contact
The Torevo website and apps are provided by mespi s.r.o., registered office Východná 4, 949 01 Nitra, Slovenská republika, company ID 52004040, tax ID 2120859554, VAT ID SK2120859554, EORI SK2120859554, Obchodný register Okresného súdu Nitra, oddiel Sro, vložka 46751/N. Contact: torevo@torevo.tech, +421 948 856 685 (Monday to Friday, 09:00–14:00 CET/CEST).
2. Business use
Torevo apps are intended for merchants and other persons using them for a business or professional activity. A person who installs an app, connects a provider or accepts these terms confirms that they are authorised to act for the relevant merchant.
3. Contract and document versions
The contract is formed when these terms are accepted in the app, a paid plan is approved in Shopify or the service is first used after the terms were made available. The app records the date, Shopify store, authorised-user identifier and accepted versions of the Terms, DPA and Privacy Policy. The DPA forms part of the contract whenever Torevo processes personal data for the merchant.
4. Website and product information
The website presents products, integrations and services. Unless a specific page, plan or order says otherwise, website content is not a standalone binding offer. The binding app scope follows the current Shopify App Store description, features available in the app, approved plan and these terms.
5. Torevo • KROS Fakturácia
The app prepares and checks Shopify order data, creates or reconciles supported documents and payments in the connected KROS account on the merchant’s instruction, and makes their state or PDF available. The merchant must verify accounting and tax decisions, rates, numbering sequences, company details and the resulting document. Torevo does not provide accounting, tax or legal advice.
6. Accounts, permissions and secrets
The merchant is responsible for its Shopify and KROS accounts, permissions, supported KROS package, API access and settings. It must create a dedicated API connection for Torevo and keep the token and webhook key confidential. Suspected compromise must be addressed by promptly rotating access and reporting the incident.
7. Shopify subscription and charges
The price, billing period, trial, taxes and next charge date are shown by Shopify before plan approval. App charges are processed by Shopify App Billing under Shopify’s terms. The merchant changes or cancels a plan through Shopify. Cancellation takes effect under the confirmed billing period and Shopify-displayed rules. Uninstalling does not by itself refund a charge already validly incurred. A request to correct an erroneous charge may be sent to the contact email.
8. Merchant responsibilities
The merchant provides only data it may lawfully process, informs data subjects as required, configures correct accounting rules, checks initial documents and handles outcome-unknown or reconciliation warnings. Automation should be enabled only after the manual flow is verified. The app must not be used for unlawful documents, tax evasion, unauthorised access or misuse of data.
9. Third-party providers
Shopify, KROS, carriers and other connected platforms are separate services with their own accounts, pricing, terms, API limits and availability. Torevo is not responsible for their decision to change or discontinue an API, plan or feature, but will reasonably communicate a known material change affecting the service.
10. Data protection and confidentiality
Personal-data processing is governed by the Privacy Policy and DPA. Each party protects non-public business and technical information and uses it only to perform the contract, meet a legal duty or protect rights. The list of subprocessors and external platforms is public and updated for a material change.
11. Intellectual property and names
Torevo software, interface, documentation and original materials remain owned by mespi s.r.o. or the relevant licensors. During an active entitlement, the merchant receives a non-exclusive, non-transferable right to use the app for its store. Shopify, KROS, Packeta, Zásielkovňa and other names belong to their owners. Naming compatibility does not imply ownership or partnership unless expressly stated.
12. Availability, support and service changes
We operate the service with reasonable professional care without guaranteeing uninterrupted availability. We may perform maintenance, apply a security measure or reasonably change a feature. If a change materially reduces a paid service, we will reasonably notify the merchant and allow cancellation for the next period. Support is provided through the published channel. A specific SLA applies only when agreed in writing.
13. Suspension and termination
Access may be suspended for an invalid subscription, security risk, breach, unlawful use or where Shopify or law requires it. After uninstall or contract termination, processing is restricted and data is exported, returned, anonymised or deleted under the DPA, retention policy and legal duties.
14. Warranties and liability
Each party is responsible for obligations under its control. To the extent permitted by law, Torevo is not liable for incorrect input data, the merchant’s accounting decisions, third-party platforms, indirect loss, lost profit or lost expected savings. Torevo’s aggregate contractual liability is limited, to the extent permitted by law, to app fees paid in the 12 months before the event. This does not limit liability for intent, gross negligence or liability that cannot lawfully be limited.
15. Changes to these terms
We may update the terms for changes in the service, law, security or providers. A new version is published with its effective date. For a material change to an active paid service, we will request renewed in-app acceptance or provide appropriate advance notice.
16. Governing law and supervision
These terms are governed by Slovak law and disputes between businesses are subject to the competent Slovak courts unless mandatory law requires otherwise. The authority supervising information-society services to the extent prescribed by law is Inšpektorát Slovenskej obchodnej inšpekcie pre Nitriansky kraj, Staničná 9, P. O. BOX 49A, 950 50 Nitra 1.
17. Contact
Send contractual, billing and complaint questions to torevo@torevo.tech. Identify the Shopify store and provide a safe problem description. Do not send passwords or API keys.
